- Use Iterthink to create, manage, and collaborate on documents with AI assistance.
- You own the documents and content you upload or create.
- Optional comment analytics is opt-in and uses anonymized, aggregated metadata.
- AI features run on Infomaniak by default; other providers only see your data if you supply your own API key.
- Your data lives on secure infrastructure; you retain full ownership.

General Terms and Conditions (GTC)

Product: Iterthink
1. Scope
These GTC govern the Iterthink software-as-a-service platform (\"SaaS\") provided by abstract ag (\"abstract\" or \"Iterthink\") to customers (\"Customer\"). Iterthink delivers document versioning, collaboration, storage, and AI assistance features; customers upload documents and related content (\"Input Data\") and receive platform output (\"Output Data\").
2. Structure and Precedence
The agreement consists of (1) any supplemental online terms (e.g., service selection, pricing) and (2) these GTC. Higher-order documents prevail in case of conflict; customer terms are excluded.
3. Provision
The SaaS is delivered via remote internet access at abstract's data-center router interface. Customer is responsible for connectivity, hardware, software, and credentials. Partial delivery is permitted.
4. Ownership and License
- Customer retains all rights to Input and Output Data.
- abstract retains all rights to the SaaS and related IP (code, translations, updates, derivatives).
- abstract grants a non-exclusive, non-transferable, revocable, fee-based right to use the SaaS for internal business purposes.
- No sublicensing, selling, leasing, or third-party access unless explicitly allowed.
- Customer must not remove IP notices, reverse engineer the SaaS, or change usage without prior written consent.
5. Term and Termination
The agreement begins when Customer accepts the SaaS terms online. The term depends on the subscribed plan and renews upon payment of the next service period. abstract may terminate with two (2) months’ notice for material breach (e.g., violation of sections 4 or 7, or payment default >60 days). Upon termination, Customer’s access ceases immediately and login credentials must be deleted. Access after termination may incur additional fees.
6. Remuneration
- Fees (\"Service Fees\") are defined in pricing terms and due in advance.
- Fees remain due even if remote access is down or compromised with Customer’s credentials.
- Additional services (consulting, maintenance) require separate agreements.
- Third-party payment processors have their own terms.
- Amounts exclude VAT unless stated otherwise.
- Overdue payments accrue 5% annual interest plus reminder charges.
7. Customer Obligations
- Provide and maintain required hardware, software, network connections, and security measures.
- Secure and back up Input and Output Data; remain responsible for transmitted data.
- Protect login credentials and notify abstract immediately of suspected compromise.
- Avoid misuse (illegal content, IP infringement, unauthorized access).
- Scan data for malware before uploading.
- Remove or procure rights for infringing content when notified; otherwise abstract may disable/delete data or terminate for cause.
- Indemnify abstract against third-party claims related to Input Data or unauthorized personal data processing.
7.1 Use of Infomaniak AI Services (Embedding, Semantic Processing & LLM Functions)
Iterthink offers AI-assisted features such as semantic comparison, paragraph matching, vector embedding generation, rewriting, paraphrasing, summarization, translation, classification, and chatbot-style text generation. When you actively trigger one of these features, the relevant text segments you submit (such as selected passages or document excerpts) are transmitted to the AI services of Infomaniak Network SA, Rue Eugène-Marziano 25, 1227 Geneva, Switzerland.
Infomaniak processes this content strictly on our documented instructions and solely for the purpose of delivering the activated AI functionality. Processing takes place exclusively in Switzerland and is governed by Infomaniak’s Data Processing Agreement (DPA), which imposes security, access-control, and deletion/retention obligations. Infomaniak does not use customer content for model training or for its own purposes.
Only the text you explicitly submit to an AI feature is transmitted, and entire documents are not sent unless you intentionally select such an option. If you do not use AI-assisted features, no content is transmitted to Infomaniak.
Infomaniak is the default hosting and AI service provider for Iterthink; no other AI service receives your content unless you deliberately connect an alternative provider under section 7.2.
7.2 Use of Third-Party LLM Providers (User-Provided API Keys)
Iterthink allows you to connect your own API keys for third-party Large Language Model (LLM) providers in order to use additional AI features such as generation, rewriting, summarization, or conversational text analysis. When you add an API key and actively trigger an AI feature, the relevant text you submit is transmitted directly to the provider you selected through your own key.
If you do not add an API key or do not use AI-assisted features, no content is transmitted to any third-party LLM provider.
When using your own API key, you establish a direct contractual relationship with the respective provider. The provider’s terms, privacy policy, retention rules, and any training opt-in settings apply exclusively to your relationship with that provider. Iterthink does not control how such providers process data submitted through your key and is not the controller for that external processing.
Unless and until you connect such an API key, Infomaniak remains the sole AI processing partner for Iterthink.
7.3 Storage of Prompts and AI Inputs
When you use AI-assisted features in Iterthink, the text you submit (“Prompts”) is stored by Iterthink to provide transparency, auditability, and traceability within documents and collaborative workspaces. This enables users and organisations to verify and reproduce how AI outputs were generated and supports security monitoring and misuse detection.
Prompts stored within Iterthink are never shared with third parties and are not used for model training or analytics. Prompts are only transmitted to Infomaniak or to an LLM provider when you actively trigger an AI feature, and—if you use your own API key—such processing is governed solely by your agreement with that provider.
Prompts are stored exclusively on Iterthink’s infrastructure in Switzerland and retained for as long as necessary to provide auditability or until your account is deleted, unless legal retention obligations require a longer period.
7.4 Processing by Third Parties and International Transfers
Iterthink relies on external service providers only where necessary to operate the platform and deliver specific features. These providers may receive personal data solely to the extent required for their service, must apply appropriate security measures, and may process data exclusively according to our documented instructions and in compliance with applicable data-protection law.
Iterthink currently relies on the following service providers:
- Infomaniak Network SA (Switzerland)
- Hosting and infrastructure for the Iterthink platform
- AI services for embedding generation, semantic comparison, and LLM-based text generation when such features are used
- Google LLC (USA)
- Email delivery, transactional messaging, and related communication tooling
- Softr Platforms Inc. (Germany)
- Marketing website hosting, landing pages, and associated analytics
- Stripe Payments Europe, Limited (Ireland)
- Payment processing for subscriptions and other transactions
If you choose to connect your own API key for external LLM providers (e.g., OpenAI, Anthropic, Mistral), the processing of your content is performed under your direct contractual relationship with that provider and is not considered processing on behalf of Iterthink.
7.5 AI-Generated Impact Analysis
The Customer acknowledges that any analysis, classification, impact evaluation, recommendation, or other output generated by AI features within the SaaS (including change-impact analysis) is produced automatically and may be incomplete, inaccurate, or unsuitable for the Customer’s specific use case. All AI outputs are provided solely as non-binding, advisory assistance to support human review.
AI outputs do not constitute engineering, legal, regulatory, safety, financial, or professional advice. They must not be used as the sole basis for design decisions, regulatory submissions, safety-critical assessments, or contractual commitments. The Customer remains exclusively responsible for reviewing, validating, and approving all AI-assisted results and for ensuring compliance with applicable laws, standards, and internal procedures.
abstract ag assumes no responsibility or liability for decisions made based on AI outputs, nor for any direct or indirect damages arising from reliance on such outputs, except where liability cannot be excluded under mandatory law.
8. Representation and Warranty
abstract delivers the SaaS with due care but provides no further warranties (merchantability, fitness, uninterrupted service, error-free operation, or non-infringement). Output Data and AI-generated content are provided \"as is\"; Customer indemnifies abstract for related third-party claims. Warranties are void if the SaaS is misused, modified without authorization, accessed by third parties, or if claims lack detail or timeliness. Freemium access is provided without warranties.
9. License on Input/Output Data & Optional Analytics
- Customer keeps full ownership of document content (Input and Output Data).
- abstract will not use document content for analytics, product development, or other purposes beyond operating the SaaS.
- Default: Comment analytics is disabled. Comments, annotations, and metadata are excluded from analytics/model training unless Customer explicitly opts in.
9.1 Opt-In Comment Analytics
If Customer opts in via account settings, they grant abstract a non-exclusive, transferable, irrevocable, perpetual, worldwide, royalty-free license to use anonymized, aggregated comment patterns, annotations, and metadata (not document content) to analyze, compare, optimize, and improve Iterthink, including via subcontractors.
9.2 Safeguards
Opt-in analytics applies the following controls:
- Anonymization: Remove/replace user IDs, project names, document references, and similar identifiers.
- Aggregation: Use only aggregated statistics (no individual comments or identifiable text).
- Filtering: Exclude text containing identifiable entities, company names, or sensitive keywords.
Aggregated/anonymized data already processed cannot be retroactively removed after opt-out, but no new data will be processed after revocation.
10. Limitation of Liability
To the extent allowed by law, aggregate liability of abstract and its subcontractors for direct damages during the service term is capped at the Service Fees paid in the preceding twelve (12) months. abstract is not liable for data loss, indirect, incidental, special, exemplary, or consequential damages, or for lost profits, business, revenue, goodwill, or anticipated savings, unless required by non-waivable law.
11. General Provisions
- The parties act as independent contractors; no agency, joint venture, or employment relationship is created.
- Customer contact information may be used within the business relationship, including marketing communications.
- abstract may reference Customer publicly and use its trademark for marketing unless revoked in writing.
- No IP rights are granted unless explicitly stated; IP notices must remain intact.
- Assignment requires prior written consent (unless otherwise stated).
- Neither party is liable for force majeure events (e.g., natural disasters, government actions, wars, strikes, power surges).
- Customer terms provided later (e.g., purchase orders) are excluded.
- Amendments require written agreement by authorized representatives.
- Invalid provisions shall be replaced with valid ones reflecting intent; gaps are filled accordingly.
- Swiss law governs; CISG does not apply. Exclusive jurisdiction lies with courts in Basel-Stadt (BS), Switzerland.
